2.3 Service Availability

We strive to maintain continuous service availability but cannot guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

AfterMenu retains all rights, title, and interest in the platform technology, software, design, and our proprietary features. This includes but is not limited to our QR code system, user interface, analytics tools, and underlying technology.

Important: Users and venues may not copy, modify, distribute, or create derivative works of our platform technology without express written permission.

3.3 Licensed Use

We grant venues and users a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms. This license does not include any right to sublicense, distribute, or commercialize our platform technology.

3.4 User-Generated Content

Any content you submit to our platform (reviews, feedback, suggestions) becomes our property to the extent permitted by law. You grant us a worldwide, royalty-free license to use, modify, and display such content for service improvement and marketing purposes.

4.2 Venue Operations

AfterMenu has no control over venue operations, food quality, service standards, hygiene practices, or business policies. We are not responsible for any issues arising from customer interactions with venues.

Note: All complaints, disputes, or issues related to food, service, or venue policies must be addressed directly with the respective venue.

4.3 Technical Limitations

We are not liable for technical issues including but not limited to QR code scanning problems, website downtime, slow loading times, or mobile application malfunctions that may prevent access to venue information.

4.4 Third-Party Content and Links

Our platform may contain links to third-party websites or integrate with external services. We are not responsible for the content, privacy practices, or terms of these third parties.

5.1 Acceptable Use

Users must:

• Use the Services lawfully and in accordance with these Terms
• Respect intellectual property rights of venues and AfterMenu
• Provide accurate information when creating accounts
• Maintain the security of account credentials
• Report any technical issues or content violations promptly

5.2 Prohibited Activities

Users must not:

• Attempt to reverse engineer, hack, or compromise our platform
• Use our Services for illegal or fraudulent purposes
• Harass, abuse, or harm venues or other users
• Submit false reviews or misleading information
• Scrape, copy, or redistribute venue content without permission
• Interfere with the normal operation of our Services
• Violate any applicable laws or regulations

5.3 Account Security

Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. Notify us immediately of any unauthorized use of your account.

6.1 Content Accuracy

Venues must:

• Provide accurate and up-to-date menu information
• Maintain current pricing and availability
• Update content promptly when changes occur
• Ensure all content complies with applicable laws and regulations
• Respect intellectual property rights when uploading content

6.2 Legal Compliance

Venues are responsible for ensuring their menus and operations comply with all applicable laws, including food safety regulations, allergen disclosure requirements, pricing regulations, and advertising standards.

Important: Venues must maintain all necessary licenses, permits, and certifications required for their operations.

6.3 Customer Service

Venues are solely responsible for customer service, order fulfillment, food quality, and resolving any customer complaints or disputes. AfterMenu is not involved in these operational aspects.

7.1 General Limitation

To the maximum extent permitted by law, AfterMenu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

7.2 Maximum Liability

Our total liability to you for any claim arising from or relating to these Terms or our Services shall not exceed the amount paid by you to AfterMenu in the twelve (12) months preceding the claim, or €100, whichever is greater.

7.3 Exclusions

We disclaim all liability for:

• Food poisoning, allergic reactions, or health issues from venue food
• Poor service or unsatisfactory experiences at venues
• Theft, loss, or damage occurring at venue premises
• Disputes between customers and venues
• Business losses due to platform unavailability
• Data loss or corruption
• Actions or omissions of third parties

8.1 User Indemnification

Users agree to indemnify and hold harmless AfterMenu from any claims, damages, or expenses arising from their use of our Services, violation of these Terms, or infringement of any rights of third parties.

8.2 Venue Indemnification

Venues agree to indemnify AfterMenu against all claims arising from their business operations, content provided to our platform, customer interactions, food safety issues, or violations of applicable laws and regulations.

10.1 Subscription Fees

Venue subscription fees are billed according to the selected plan. All fees are non-refundable unless otherwise specified in writing. We reserve the right to change pricing with thirty (30) days notice.

10.2 Late Payments

Late payments may result in service suspension or termination. We may charge late fees for overdue accounts as permitted by law.

10.3 Taxes

All fees are exclusive of applicable taxes, which are the responsibility of the paying party.

11.1 Termination by User

Users may terminate their account at any time by contacting our support team or using account settings. Termination does not entitle users to refunds of prepaid fees.

11.2 Termination by AfterMenu

We may suspend or terminate accounts immediately for violations of these Terms, illegal activities, or other conduct that may harm our platform or other users.

For non-violations, we will provide reasonable notice before termination where legally required.

11.3 Effect of Termination

Upon termination, your right to use our Services ceases immediately. We may delete your account data in accordance with our data retention policies.
